Terms of Service

1. Acceptance of Terms

By using the AgentForge platform (the "Service"), you fully accept these Terms of Service. If you do not accept these terms, we ask you not to use the Service.

These Terms constitute a legally binding agreement between you (the "User") and AgentForge Srl ("AgentForge", "we"). Continued use of the Service after the publication of changes to these Terms constitutes acceptance of those changes.

To access the Service you must be at least 18 years old and have the legal capacity to enter into binding contracts.

2. Service Description

AgentForge is a SaaS (Software as a Service) platform that enables agencies, freelancers and companies to create, configure, test and deploy conversational AI agents. The Service includes:

• Agent Builder: a no-code tool for configuring customised AI agents.
• Prompt Lab: a testing and prompt optimisation environment for large language models.
• Deploy system: tools for publishing AI agents on websites, apps and communication channels.
• 750+ integrations: pre-built connectors with third-party tools.
• Analytics: dashboard to monitor agent performance.
• Marketplace: platform for buying and selling pre-built agents.

AgentForge reserves the right to modify, suspend or discontinue any feature of the Service at any time, with reasonable notice to users.

3. Account and Registration

To use the Service you must create an account by providing accurate, complete and up-to-date information. You are responsible for:

• Maintaining the confidentiality of your login credentials (email and password).
• All activities that occur under your account.
• Notifying us immediately of any unauthorised access to your account (support@agentforge.solutions).
• Ensuring that your profile information is always accurate and up to date.

AgentForge cannot be held liable for damages or losses resulting from failure to protect login credentials. It is prohibited to create false, multiple accounts or accounts on behalf of third parties without authorisation.

4. Plans and Payments

AgentForge offers several subscription plans with different features and prices. Payments are processed via Stripe, Inc. By accepting a paid plan, you authorise AgentForge to charge the payment method provided.

• Billing: monthly or annual according to the chosen plan. Annual billing includes a discount compared to monthly.
• Automatic renewal: subscriptions automatically renew at expiry, unless cancelled at least 24 hours in advance.
• Refund policy: for first purchase, a 14-day money-back guarantee is available. After this period, no pro-rata refunds are provided.
• Price changes: any price changes will be communicated at least 30 days in advance by email.
• Credits: purchased credits are valid for 12 months from purchase and are non-refundable.

5. Intellectual Property

AgentForge property: the AgentForge platform, including source code, design, logos, trademarks, documentation and all content produced by AgentForge, is the exclusive property of AgentForge Srl and is protected by Italian and European intellectual property laws.

User content: you retain full ownership of all content you upload to the platform (knowledge base, prompts, agent configurations). You grant AgentForge a limited, non-exclusive and non-transferable licence to process such content solely to provide the Service.

Feedback: any suggestions, ideas or feedback you provide to AgentForge may be used without any obligation of compensation.

6. Limitation of Liability

The Service is provided "as is" and "as available" without warranties of any kind, express or implied. To the fullest extent permitted by applicable law:

• AgentForge does not warrant that the Service will be error-free, uninterrupted or will meet specific user requirements.
• AgentForge is not liable for any indirect, incidental, special or consequential damages arising from use of the Service.
• AgentForge's maximum liability to the user is limited to the amount paid for the Service in the last 12 months.
• AgentForge is not responsible for content generated by AI agents configured by users.

7. Contract Termination

By the user: you can cancel your account at any time from the profile settings. Cancellation is immediate; data will be retained for 30 days before final deletion, upon request.

By AgentForge: we reserve the right to suspend or close your account in the event of: breach of these Terms, non-payment, fraudulent behaviour, violation of the Acceptable Use Policy, or for security reasons. Where possible, we will provide adequate notice.

In the event of account closure, your data will be deleted according to the timelines set out in our Privacy Policy, subject to legal retention obligations.

8. Changes to Terms

AgentForge may modify these Terms of Service at any time. Material changes will be communicated by email to the address associated with the account at least 30 days before taking effect.

Continued use of the Service after the effective date of the changes constitutes acceptance of the new Terms. If you do not accept the changes, you may cancel your account before the effective date.

9. Governing Law

These Terms of Service are governed by Italian law. For any dispute arising from the interpretation or execution of this agreement, the parties submit to the exclusive jurisdiction of the Court of Verona.

Before taking legal action, the parties undertake to attempt to resolve the dispute amicably within 30 days of written notice of the problem.
